Terms of Service

These Terms of Service ("Terms") govern your access to and use of AI1Up (ai1up.com), including the AI-powered funnel and website builder, lead capture and CRM tools, AI content generation features, and the member referral/commission system (collectively, the "Service"), operated by Ryan Carlson ("AI1Up," "we," "us," or "our").

By creating an account, making a payment to access the Service, or otherwise using AI1Up, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

AI1Up provides members with tools to build unlimited sales funnels and website pages, generate AI-written page content and copy, automate email/SMS follow-up sequences, deploy AI chatbots, place AI-driven calls to leads, and manage leads through a built-in CRM. Membership also includes participation in a member-to-member commission and pass-up referral structure described in Section 6.

2. System Features

Your membership grants you access to the Service as it exists and is made available to you from time to time, not to any specific, fixed, or permanent set of features. The tools described in Section 1, and any other feature, tool, or component of the Service, are provided at our discretion and may change over the life of your membership.

We reserve the right, in our sole discretion and at any time, to add, remove, modify, expand, restrict, or discontinue any feature, tool, or component of the Service, with or without prior notice. This includes, without limitation, AI generation capabilities, automation tools, CRM functionality, integrations with third-party providers, and any other functionality of the product you are purchasing access to. We are not obligated to maintain, support, or continue offering any particular feature indefinitely.

The Service is updated on an ongoing basis, including through routine system updates that may be deployed nightly. Any such update may add, remove, modify, or otherwise change one or more features of the Service without prior notice to you. What features are included in, added to, or removed from the Service at any given time is determined solely by us, in our sole discretion.

A change, removal, or discontinuation of a feature under this Section does not entitle you to a refund, credit, or other compensation, and does not constitute a breach of these Terms.

3. Eligibility

You must be at least 18 years old to register for or use the Service. By registering, you represent that you meet this requirement and that all information you provide is accurate.

4. Required Third-Party Services and Hosting

AI1Up is a software platform only. It does not include hosting, AI usage, calling, messaging, or email delivery as part of your membership. You are responsible for obtaining and paying for your own third-party accounts to use these features.

To use the Service, you acknowledge and agree that:

AI1Up does not charge markups on any of these third-party services. You deal directly with each provider, under that provider's own pricing, terms, and policies. We are not responsible for the cost, availability, performance, or policies of any third-party service you choose to connect.

5. Membership Payment

Access to AI1Up requires a one-time payment (currently $100, subject to change for new members) made directly to the member who referred you, not to AI1Up. AI1Up does not process, collect, or hold this payment on your behalf. Once your sponsor confirms receipt of payment, they are responsible for activating your account.

Because payments are made member-to-member rather than to AI1Up, AI1Up has no visibility into, and no control over, individual payment transactions between members.

AI1Up includes a member-to-member commission structure under which:

We reserve the right, in our sole discretion and at any time, to modify, adjust, restructure, or replace the compensation plan, including the pass-up structure, commission eligibility, membership pricing, and any related terms described in this Section, with or without prior notice. Changes take effect upon posting to the Service or otherwise notifying members, and apply prospectively to sales and commissions occurring after that point. Continued use of the Service after a change takes effect constitutes your acceptance of the revised compensation plan.

No income is guaranteed. Any results, earnings examples, or testimonials referenced on the Service reflect individual experiences and are not typical. Your results will depend on your own effort, market conditions, and other factors outside our control.

7. Founding Member Status and Bonuses

Founding Member Status

AI1Up may, in its sole discretion, designate certain members as "Founding Members." Founding Member status is a discretionary recognition intended to honor members who make meaningful contributions to the long-term growth, development, promotion, stability, and success of AI1Up and who demonstrate an ongoing commitment to supporting the AI1Up community.

Founding Member Bonuses

AI1Up may offer bonus commissions, incentives, promotions, recognition, or other benefits that are available exclusively to Founding Members ("Founding Member Bonuses"). Eligibility for, and continuation of, Founding Member Bonuses is determined solely by AI1Up and may be modified, expanded, reduced, or discontinued at any time.

Purpose of the Founding Member Program

The Founding Member program exists to recognize and reward members whose actions contribute to the continued growth and success of AI1Up. Founding Member Bonuses are intended to reward ongoing support of AI1Up and are not earned solely by joining early or by achieving any particular sales volume or rank.

Conduct Affecting Founding Member Status

AI1Up reserves the right, in its sole but reasonable discretion, to deny, suspend, revoke, or modify Founding Member status, and any associated Founding Member Bonuses, commissions, incentives, or privileges, if AI1Up determines that a member has engaged in conduct that has caused, or is reasonably likely to cause, a material negative impact on AI1Up, its members, its reputation, its operations, or its long-term growth.

Examples of such conduct include, but are not limited to:

Nothing in this Section prohibits members from participating in, owning, investing in, or promoting other businesses or opportunities. However, Founding Member status is reserved for members whose conduct continues to support the long-term interests of AI1Up. Participation in another business does not, by itself, affect Founding Member status. Rather, AI1Up may consider whether a member's conduct has materially harmed or is reasonably likely to materially harm AI1Up or the objectives of the Founding Member program.

Discretionary Status

Founding Member status is a discretionary recognition and is not a contractual right, vested benefit, or guarantee of future compensation. AI1Up reserves the right, in its sole but reasonable discretion, to grant, deny, suspend, revoke, or modify Founding Member status and any associated Founding Member Bonuses, commissions, incentives, or privileges whenever AI1Up determines that doing so is in the best interests of AI1Up, its members, or the Founding Member program.

A member whose Founding Member status is denied, suspended, revoked, or modified shall have no right to receive any Founding Member Bonuses, commissions, incentives, promotions, or other benefits that would otherwise become payable after the effective date of such action.

AI1Up's determinations regarding Founding Member status and eligibility for Founding Member Bonuses are final and are not subject to appeal.

8. Refund Policy

Because membership payments are made directly between members rather than to AI1Up, AI1Up does not process or issue refunds. Whether to offer a refund to someone who paid them is entirely at the discretion of the individual member who received that payment. A member may deactivate an account they activated at their own discretion. Reseller license payments made to admin are non-refundable because these funds are distributed back to members as commissions the same day.

9. AI-Generated Content

Pages, copy, email/SMS sequences, and chatbot responses created using the Service's AI features are generated by third-party AI models based on your inputs. AI-generated content may contain errors, inaccuracies, or content that does not meet your expectations. You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing or sending it, including ensuring it complies with applicable advertising, consumer protection, and anti-spam laws (such as CAN-SPAM and TCPA for email/SMS/calling features).

Violation of this section may result in suspension or termination of your account without refund (noting that, per Section 8, refunds are a member-to-member matter in any case).

12. Intellectual Property

You retain ownership of the specific content you input and the funnels/pages you generate for your own business using the Service. AI1Up and its licensors retain all rights to the underlying platform, software, templates, and branding. You may not resell, sublicense, or redistribute the AI1Up platform itself.

13. Third-Party Services Disclaimer

AI1Up integrates with third-party services (including but not limited to Claude/Anthropic, OpenAI, Vapi, ElevenLabs, Bland, Twilio, Vonage, GoHighLevel, ConvertKit, Klaviyo, Mailchimp, ActiveCampaign, HubSpot, Pipedrive, AWeber, Whereby, Cal.com, and Calendly). We are not responsible for the availability, performance, pricing, or policies of these third-party services, or for any outage, error, or charge arising from your use of them. Your relationship with each third-party provider is governed solely by that provider's own terms.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable for your purposes.

15. Limitation of Liability

To the maximum extent permitted by law, AI1Up and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or commissions, arising out of or related to your use of the Service, including any third-party service you connect to it or any commission payment (or non-payment) between members, or any change made to the Service or compensation plan under Sections 2 or 6.

16. Indemnification

You agree to indemnify and hold harmless AI1Up and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your use of any connected third-party service, or content you publish or send using the Service.

17. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms.

In addition, we reserve the right, in our sole discretion and at any time, to terminate or restrict the membership of any member whose conduct we determine, in our sole judgment, to be detrimental to the growth, reputation, or operation of AI1Up, whether or not that conduct violates any other provision of these Terms. In that event, the member will retain access to the product features they purchased, but will be removed from the referral and commission program described in Section 6 and will no longer be permitted to promote the Service, refer new members, or earn or receive commissions. Such removal does not entitle the member to a refund, credit, or other compensation.

You may stop using the Service at any time. Sections of these Terms that by their nature should survive termination (including Sections 8, 12-16) will survive.

18. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Governing Law

These Terms are governed by the laws of The United States, without regard to conflict-of-law principles, unless otherwise required by applicable consumer protection law in your jurisdiction.
